Article 1. Name, Seat, Business Year
- The name of this organization shall be Euless Small Business Association.
- Euless Small Business Association shall have its seat in the DFW Metroplex.
- The business year shall be January through December.
Article 2. Objectives
- Euless Small Business Association is a support group for small business owners who live and/or work in Euless.
- Euless Small Business Association does not pursue profitability.
- The purposes of Euless Small Business Association are exclusively non-profit.
- Euless Small Business Association sponsors networking events, speakers, and other events to promote small businesses in the area.
- Euless Small Business Association may make itself available to educational and corporate institutions upon written request by these institutions and approval by the Euless Small Business Association Board.
- The Euless Small Business Association Board of Directors may approve other goals from time to time.
- Mission: To promote small business in the City of Euless.
Article 3. Members
Section 1. Membership
- Applications for membership are taken at any time for small business owners who work or live in Euless, or as defined by the Board of Directors.
- The membership list is the private property of Euless Small Business Association.
- Inactive members may rejoin the group at any time upon paying yearly dues.
Section 2. Dues
- All members shall pay one annual membership dues payment. The amount of dues and their due dates shall be recommended by the Board of Directors and submitted to the general membership for ratification.
- The funds of Euless Small Business Association shall be applied only for: (a) purposes of communication between members and/or between members and community organization (i.e., mailings, handouts, minutes, postage, and associated fees); and (b) functions agreed upon by a majority of the Board of Directors.
- Dues may be placed in a bank account, if designated by the Board of Directors.
- Funds from one business year shall be carried over to the next.
Article 4. Treasury Funds
- The funds of Euless Small Business Association shall be applied only for: (a) purposes of communication between members and/or between members and community organization (i.e., mailings, handouts, minutes, postage, and associated fees); and (b) functions agreed upon by a majority of the Board of Directors.
- Dues may be placed in a bank account, if designated by the Board of Directors.
- Funds from one business year shall be carried over to the next.
Article 5. Membership Meetings
- Euless Small Business Association general membership meets at least once per year as the primary means to achieve its objective.
- An annual general membership meeting will be held as determined by the Board of Directors.
- In the event of resolutions introduced at the annual meeting, the majority vote of present members shall decide the result.
- The chairperson of the meeting, (i.e.; secret ballot, voice, or other), shall determine the voting procedure.
Article 6. Board of Directors
Section 1. Officers
- The activities, property and affairs of Euless Small Business Association shall be managed by a Board of Directors who may exercise all such powers of the organization as permitted by these bylaws.
- The Board of Directors shall consist of the office of President, Vice-President, Secretary Treasurer, and committee chairpersons.
- There shall be a minimum of six (6) officers whose numbers may be increased from time to time by amendments of these Bylaws.
- Officers shall hold office for a term of one (1) year or until their resignation, retirement, disqualification , or removal from office. All documents entrusted to them shall be returned to his/her successor or Euless Small Business Association.
- No officer shall receive compensation for their services.
Section 2. Board of Directors Meetings
- The Board of Directors shall meet a minimum of three times a year.
- A quorum of at least 5 board members must be present.
- Resolutions will be decided by majority vote of the board members present.
Article 7. Officer Obligation and Duties
Section 1. President
- Preside over the annual general membership meetings.
- Preside over the Board of Directors meetings.
- Prepare the meeting agenda for the year, and interim meetings.
- Generally supervise the affairs of Euless Small Business Association.
Section 2. Vice-President
- Preside at meetings in the absence of the President.
- Coordinate all aspects of membership, including updating the membership list on a monthly basis.
- May be delegated to a Membership committee and that committees Chairperson as approved by the Board of Directors.
- Perform other duties as assigned by the President.
Section 3. Secretary
- Take minutes at all meetings.
- Provide a summary of the minutes to the Board of Directors.
- Handle correspondence including “significant events” as appropriate.
- Distribute the meeting agenda of the year.
- Maintain the official documents of Euless Small Business Association, including the Bylaws and standing rules, correspondence and minutes.
- Perform other duties as assigned by the President.
- Preside at meetings in the absence of the President, Vice-President.
Section 4. Treasurer
- Receive and deposit dues in bank account, as designated by the Board of Directors.
- Give members receipts for their dues.
- Pay any bills the association has voted to pay.
- Balance and reconcile the checking account.
- Present and prepare for audit a written quarterly financial report
- Present and prepare for audit a written annual financial report to be presented at the annual meeting.
- Perform other duties as assigned by the President.
- Preside at meetings in the absence of the President, Vice-President, and Secretary.
Article 8. Nominations and Elections
- The Board of Directors shall be elected by a majority vote of the Euless Small Business Association membership at the annual general meeting.
- Three months prior to the annual meeting, the Board of Directors shall form a Nominating Committee. The Nominating Committee shall consist of three (3) members. Two (2) committee members shall be chosen from the general membership. One (1) committee member shall be a member of the Board of Directors and appointed by the Board.
- Two months prior to the annual meeting, the Nominating Committee shall submit the slate of officers to the general membership.
- The election and Installation of officers shall be held at the annual meeting; a majority of the votes cast by those members present will elect the officers.
- Nothing in these Bylaws shall be construed as prohibiting nominations from the floor.
- The new officers shall take office in January, the next business year.
Article 9. Filling Vacancies in the Board of Directors
- Any vacancy occurring in the Board of Directors shall be filled by the affirmative vote of a majority of the remaining Board member.
- Any Board member elected or appointed to fill a vacancy shall hold office until the end of the original term of office.
Article 10. Removal from Office
- Any officer may be removed from her position as Director, with reason(s) and with notice of such reason(s) to that officer. Removal from office requires a two-thirds (2/3) vote of the Board.
- Notice of removal shall be sent via certified mail; return receipt requested, to the officer.
Article 11. Amending the Bylaws
- These Bylaws may be altered , amended or repealed, or new Bylaws may be adopted at any annual meeting of Euless Small Business Association by a majority of the members present and voting, provided a thirty (30) day written notice of the proposed alteration, or amendment, repeal or adoption has been published to the membership in the Euless Small Business Association newsletter or other vehicle.
- Prior to the first annual meeting, any amendments will be made by a majority vote of the Board of Directors.
- Proposed Bylaws adopted by the membership at the annual meeting shall become effective at the next meeting.
Article 12. Dissolution
If Euless Small Business Association is dissolved, or if the objective of Euless Small Business Association no longer exists, treasury funds shall go to a charity to be designated by the majority vote of the members present at a general meeting.
Article 13. Parliamentarian Authority
- A parliamentarian may be appointed by the Board of Directors to serve at the Presidents discretion during the President’s term of office.
- Parliamentarian Authority will be exercised in situations not in conflict with these Bylaws.
EULESS SMALL BUSINESS ASSOCIATION STANDING RULES
Membership
- Annual dues shall be $50.00.
- Annual dues can be changed if agreed to by the Board of Directors and voted upon by the majority of members.
Other Expenses
- Prior approval from the Board of Directors shall be obtained if fees are to be reimbursed.
Special Events
- A request for a special event or function may be presented to the Board of Directors for a vote.
- The request, if approved by the Board of Directors, will be brought for a vote to be approved by a majority of the membership at any monthly meeting.
- The President may appoint a special committee to research and coordinate the event or function.
